Terms and Conditions
1. Introduction
1.1 The promotional materials, including information on how to enter this Contest, form part of these Contest terms and conditions (“Contest Terms”). Entry into this Contest is deemed acceptance of these Contest Terms.
1.2 The promoter of this Contest is Nordeus Limited, a company registered in Ireland (company number: 526421) with its registered office at 3rd Floor, Kilmore House, Park Lane, Spencer Dock, Dublin 1, Ireland (“Nordeus”). 2. Contest Period
2.1 Contestants may enter the Contest between 10 May 2023 at 04:30:00 PM (CEST) (“Start Date”) until 14 May 2023 at 11:00:00 PM (CEST) (inclusive) (“Contest Period”). Nordeus reserves the right to alter the Contest Period (if in Nordeus’ opinion it is necessary) at any time without notice prior to the end of the Contest Period.
3. How to Enter
3.1 The Contest is free to enter and is open to legal residents of Austria, Ireland, France, Germany, New Zealand, Spain, Switzerland, the United Kingdom, and United States of America (including the 50 United States and the District of Columbia) who are at least eighteen (18) years old. Nordeus, their respective affiliates and agents and their respective employees and their immediate families and/or those living in the same household, are ineligible to enter. Nordeus reserves the right to verify the eligibility of contestants.
3.2 To enter the Contest, contestants must during the Contest Period:
3.2.1 have a Twitter account and ensure that their Twitter account settings are set to “public” and not “private”. If a contestant does not have a Twitter account, one can be created by visiting https://twitter.com/. Twitter accounts are free;
3.2.2 be a follower of Nordeus’ Twitter page dedicated for its game “Top Eleven” (“Game”), located at https://twitter.com/topeleven (“Top Eleven Page”); and
3.2.3 look for the post that Nordeus posts on the Top Eleven Page to announce the Contest (“Contest Post”) and like and retweet the Contest Post.
3.3 All information, material and other content submitted by a contestant as part of this Contest (including, without limitation, the contestant’s Twitter username and handle, profile picture, and any text contained in the contestant’s comment for the Contest) shall be collectively referred to herein as the “Submission.” Each contestant’s Submission must comply with the Content Restrictions (as defined in Section 4.1 below), as determined by Nordeus in Nordeus’ sole and absolute discretion.
3.4 Limit of one (1) entry per contestant. No automated entry devices and/or programs permitted. Verified or suspected cheating or attempts to cheat by a contestant (including, without limitation, by entering multiple times, or using a false identity to enter the Contest) may result in the contestant being excluded from the Contest. Nordeus is not responsible for any lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled Submissions, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed Submissions are eligible. Proof of Submission will not be deemed to be proof of receipt by Nordeus. Nordeus reserves the right to void any suspicious Submission.
3.5 All Submissions successfully received by Nordeus during the Contest Period, and which comply with the Content Restrictions, shall qualify for a chance to win the Prize (as defined in Section 6.2 below).
4. Content Restrictions
4.1 By entering the Contest, each contestant agrees that their Submission conforms to the following content restrictions (“Content Restrictions”) and that Nordeus, in Nordeus’ sole discretion, may remove any Submission and disqualify a contestant from the Contest if Nordeus believes, in Nordeus’ sole discretion, that the contestant’s Submission fails to conform to the Content Restrictions:
4.1.1 the Submission must not contain material that violates or infringes another’s rights, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights;
4.1.2 the Submission must not disparage Nordeus (or any of its affiliates) or any other person or entity;
4.1.3 the Submission must not contain brand names or trademarks of any entity; and
4.1.4 the Submission must not contain material that is racist, offensive, pornographic, vulgar, profane, defamatory, insulting, unlawful, inappropriate or otherwise objectionable.
4.2 In the event that the Submission provided by the contestant is incomplete, their Submission will not be accepted.
4.3 Any Submission sent after the end of the Contest Period will be considered void.
4.4 Contestants acknowledge that other contestants may have used ideas and/or concepts in their Submission that may have similarities to ideas or concepts included in contestant’s Submission, and contestants understand and agree that they shall not in any way be entitled to any compensation because of any such similarities. Nordeus’ decisions are final and binding in all matters relating to this Contest, including interpretation and application of these Contest Terms.
5. Intellectual Property Rights
5.1 By submitting a Submission to the Contest, each contestant represents, warrants and undertakes that it owns all right, title and interest in and to their Submission and that their Submission complies with all of the Content Restrictions.
5.2 All Submissions will become the exclusive property of Nordeus, and none will be acknowledged or returned. Nordeus shall have the right to edit, adapt and publish or not publish any or all of the Submissions, and may use them in any media without attribution or compensation to the contestant, their successors or assigns, or any other entity. CREATING AND SUBMITTING A SUBMISSION IN THIS CONTEST CONSTITUTES THE CONTESTANT’S IRREVOCABLE ASSIGNMENT, CONVEYANCE AND TRANSFERENCE TO NORDEUS OF ANY AND ALL RIGHT, TITLE AND INTEREST IN THE SUBMISSION OR ANY DERIVATIVE WORKS CREATED USING THE SUBMISSION INCLUDING, WITHOUT LIMITATION, ALL INTELLECTUAL PROPERTY RIGHTS, INCLUDING COPYRIGHTS.
5.3 BY ENTERING THIS CONTEST, EACH CONTESTANT HEREBY UNCONDITIONALLY AND IRREVOCABLY: (I) WAIVES ANY AND ALL MORAL RIGHTS (IF ANY) WHICH THEY MAY HAVE IN ANY SUBMISSION IN ACCORDANCE WITH SECTIONS 77 TO 84 OF THE COPYRIGHT, DESIGNS AND PATENTS ACT 1988 OR ANY SIMILAR LEGISLATION THROUGHOUT THE WORLD, PROVIDED THAT, IF UNDER ANY APPLICABLE LAW THE FOREGOING WAIVER IS NOT EFFECTIVE, EACH CONTESTANT UNDERTAKES THAT IT SHALL EXERCISE SUCH RIGHTS REASONABLY AND IN A WAY THAT WILL NOT HAVE A MATERIAL ADVERSE EFFECT UPON NORDEUS, THEIR RESPECTIVE PRODUCTS OR SERVICES AND/OR THE EXERCISE BY NORDEUS OF ANY OF THEIR RIGHTS HEREUNDER; AND (II) GRANTS TO NORDEUS ALL PERFORMER’S CONSENTS REQUIRED PURSUANT TO THE COPYRIGHT, DESIGNS AND PATENTS ACT 1988 PART II OR PURSUANT TO ANY OTHER LEGISLATION IN ANY JURISDICTION, TO ENABLE THE EXPLOITATION REFERRED TO IN THESE CONTEST TERMS.
6. Prize
6.1 After the Contest Period has expired, up to two (2) Submissions will be randomly drawn from all Submissions that comply with these Contest Terms and are successfully received by Nordeus during the Contest Period (“Prize Draw”) in order to determine who the winners of the Contest are.
6.2 The contestants responsible for the Submissions drawn in the Prize Draw will each win one (1) jersey based on the Game and signed by José Mourinho or Xabi Alonso (“Prize”). In the case of unavailability of any Prize or part of the Prize, Nordeus reserves the right to substitute it for a prize of equal or greater value (as determined by Nordeus in its absolute discretion).
6.3 Nordeus will endeavour to provide the Prize to a winner within ninety (90) days from the day the applicable winner responds to Nordeus’ Notification (defined in Section 7 below). If for any reason, other than a breach of these Contest Terms by such winner (or it being determined that such winner has failed to meet the eligibility requirements set out under these Contest Terms), the Prize cannot be provided within this timeframe, Nordeus will contact such winner who will be given the choice of either waiting for their Prize, accepting an alternative prize of equal of greater value (as determined by Nordeus in its absolute discretion), or forfeiting their Prize.
6.4 Each winner of the Contest acknowledges and agrees that the Prize awarded to them (or any part thereof) may be provided by a third party and that their acceptance of such Prize may therefore be subject to such third party’s own terms and conditions. Failure on the part of such winner to accept any such third party’s terms and conditions and/or any other terms and conditions that may apply, shall result in that winner forfeiting their Prize. Any complaints must be directed to the relevant third-party provider.
6.5 All taxes and unspecified expenses with participating in the Contest and/or accepting the Prize awarded to them (if any) are the responsibility of the relevant contestant, including but not limited to any costs and/or expenses incurred in connection with the acceptance, use or enjoyment of the Prize awarded to them.
7. Notification
7.1 The winners of the Contest will be contacted by Nordeus within seven (7) working days following the expiry of the Contest Period via a direct message on Twitter to the account that they used to enter their Submission to confirm that they are one of the winners of the Contest, and to inform them how to claim the Prize.
7.2 In the event that: (i) a winner cannot be contacted or does not respond to the Notification within thirty (30) days; (ii) a winner rejects the Prize awarded to them (or any substitute awarded to them pursuant to Section 6.4 or 7.4); or (iii) a winner has failed to comply with these Contest Terms, such winner’s Prize may be forfeited.
7.3 Upon forfeiture of the Prize, pursuant to Section 6.5 or 7.2, no compensation will be given and Nordeus reserves the right, in its absolute discretion, to either carry out a further Prize Draw from the remaining eligible Submissions to determine an alternative winner or withhold the Prize entirely. The winning Submissions and the winners’ names may be published on the Top Eleven Page and will be made available on request in writing to Nordeus using the contact details set out in Section 1.2. Each contestant hereby consents to the publication of their name and Twitter handle by Nordeus in accordance with this Section 7.3.
7.4 The Prize is not transferable. Subject to Section 6.4 and the remainder of this Section 7.4, no substitutions, cash redemptions or cash or credit alternatives will be offered. In the case of unavailability of any of the Prize, Nordeus will substitute the relevant Prize (in whole or in part) with a prize of equal or greater value, as determined by Nordeus at Nordeus’ sole discretion. All taxes and unspecified expenses are the responsibility of relevant contestant.
8. Limitation of Liability
8.1 Participation in this Contest constitutes the contestant’s permission for Nordeus to use the contestant’s name, likeness, photograph, picture, portrait, voice, biographical information, Twitter username and handle and/or any statements made by the contestant regarding the Contest or Nordeus for advertising and promotional purposes without notice or additional compensation, except where prohibited by law.
8.2 By participating in the Contest, each contestant agrees to release and hold harmless Nordeus, Twitter and their respective parent companies, subsidiaries, affiliates, partners, owners, governors, representatives, agents, successors, assigns, employees, officers, directors, distributors, retailers and advertising/promotional agencies (collectively, the “Released Entities”), from any and all liability, loss, harm, damage, injury, cost or expense whatsoever (other than as expressly set out in Section 8.3 below) which may occur in connection with: (i) their preparation for, or participation in, the Contest or any Contest-related activity; (ii) their possession, acceptance and/or use or misuse of the Prize; and/or (iii) any claims based on: (a) any infringement of any publicity or privacy rights; (b) defamation; or (c) any copyright infringement, trademark infringement or other intellectual property-related cause of action.
8.3 Nothing in these Contest Terms shall in any way exclude or limit any of the Released Entities’ liability for any: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by its negligence; (c) any other liability to the extent that such liability may not be excluded or limited as a matter of English law.
8.4 Nordeus reserves the right to cancel or postpone this Contest without liability upon, and Nordeus will not be liable for any failure to comply with its obligations or any delay in performing its obligations under these Contest Terms due to, the occurrence of any event or circumstance beyond its control.
8.5 Submissions may be cut, edited, reformatted, rearranged, combined with other materials and/or otherwise modified, in Nordeus’ sole and absolute discretion. None of the Released Entities shall be liable or responsible in the event that any of the winner’s Submission (or any part thereof) is not used for any reason.
8.6 Nordeus may prohibit any contestant from participating in the Contest or winning any of the Prize and/or participating in any future contest or other promotion conducted by Nordeus if, in its sole discretion, it determines that such contestant is attempting to undermine or has undermined the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices, has violated these Contest Terms, has acted in an unsportsmanlike or disruptive manner, or has annoyed, abused, threatened or harassed any other contestants or any of the Released Entities’ representatives.
8.7 CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, NORDEUS RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW.
8.8 THE CONTEST AND THE PRIZE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
8.9 Each contestant acknowledges and agrees that the Contest is in no way sponsored, endorsed or administered by, or associated with Twitter, or any of their establishments, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors.
9. Data Protection
9.1 Contestants’ personal data submitted to, or collected by, Nordeus in connection with the Contest will be processed by Nordeus and/or data processors appointed by Nordeus for the purposes of conducting, administering and marketing the Contest. Each contestant understands that Nordeus has a valid legitimate interest in processing such personal data for these purposes and that Nordeus’ legitimate interests are not outweighed by such contestant’s own interests or fundamental rights and freedoms.
9.2 Any personal data submitted to, or collected by, Nordeus or its data processors in connection with the Contest will be processed in accordance with Nordeus’ privacy policy. Please review Nordeus’ privacy policy at www.take2games.com/privacy. By participating in the Contest, contestants hereby acknowledge that they have read and understood Nordeus’ privacy policy.
10. General
10.1 Nordeus reserves the right, at its sole discretion, to change, modify, add or remove portions of these Contest Terms at any time up to one (1) week before the end of the Contest Period.
10.2 If any Section or part thereof of these Contest Terms is, or becomes, invalid, illegal or unenforceable, then that Section or part thereof shall be deemed to be deleted from these Contest Terms. Any such deemed deletion shall not affect the validity, legality or enforceability of the remainder of these Contest Terms.
10.3 In the event that any contestant breaches these Contest Terms, such contestant shall be automatically disqualified from the Contest and ineligible to win the Prize.
11. Disputes & Governing Law
11.1 To the extent permitted by applicable laws, contestants resident in the United States of America:
11.1.1 irrevocably agree that these Contest Terms and the interpretation of such Contest Terms shall be governed by and construed in accordance with the laws of the State of New York without regard to its conflicts of laws rules;
11.1.2 hereby waive all rights to trial in any action or proceeding instituted in connection with these Contest Terms, including, without limitation, the Contest and hereby agree that any controversy or claim arising out of or relating to these Contest Terms and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, City of New York;
11.1.3 for any matters which are not subject to arbitration as set forth in these Contest Terms and/or in connection with the entering of any judgment on an arbitration award in connection with these Contest Terms and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of New York in the State of New York. The parties agree not to raise the defense of forum non conveniens.
11.2 To the extent permitted by applicable laws, for contestants who are not resident in the United States of America, such contestants and Nordeus each irrevocably agree that the Contest Terms shall be governed by and construed in accordance with the laws of England and Wales and the parties submit and consent to the exclusive jurisdiction and venue of the courts of England and Wales.
